The agreement
These terms govern the cleaning services provided by DPC CLEANING LTD, a company registered in the United Kingdom with its principal premises at 166 King Cross Road, Halifax - HX1 3LN, United Kingdom (GB). They also govern your use of this website. By asking us to carry out work, or by accepting a written quotation, you agree to these terms to the extent they apply to you.
Where we have issued a written quotation, specification or contract document for a particular site, that document takes priority over these terms if there is a conflict. These terms fill the gaps and set out the general expectations that apply to every engagement.
If you are arranging services on behalf of an organisation, you confirm that you have authority to bind that organisation. If you are an individual acting for yourself, the words you and your refer to you personally.
Definitions
The following definitions apply throughout these terms. They are written plainly so that there is little room for argument about what a phrase means later on.
- We, us and our mean DPC CLEANING LTD.
- You and your mean the client, or the visitor to this website, as the context requires.
- The round means the scheduled sequence of cleaning visits set out in the specification.
- The specification means the written description of the areas to be cleaned, the frequency, the products approved for each surface and the method of sign-off.
- The premises means the building or part of a building at the address stated in the specification.
- The supervisor means the named person responsible for planning and signing off the round.
- Working hours means the hours during which we are permitted under the specification to be on site.
The services
We provide commercial cleaning services arranged as planned rounds. The six round types we run are office deep clean nights, pub refit washdowns, after-builders sweeps, carpet extraction days, window and facade rounds and kitchen degrease shifts. A single client may hold one round or several, and the specification records which apply.
The scope of each round is defined in writing before the first visit. We do not treat a description on this website as a promise that a particular task will be included in your contract; the specification is the controlling document. If you think a task should be included and it is not written down, raise it with the supervisor so that the specification can be amended properly.
We will carry out the services with reasonable skill and care, using suitably trained staff and appropriate equipment. We will follow the schedule in the specification, except where a change is agreed in advance or where an event outside our control requires a rearrangement.
Quotations and surveys
A quotation is prepared after a survey of the premises. The survey establishes the floor area, the finish level, the access arrangements and the time required for each visit. A quotation remains open for thirty days from its date unless it states otherwise.
Quotations are based on the information available at the survey. If the premises differ materially from the description given, or if the condition is significantly worse than expected, we may revise the quotation before work begins. We will explain any revision in writing and will not start the round until you have accepted it.
Unless stated otherwise, a quotation covers labour, standard equipment, ordinary consumables and travel within the Halifax area. It does not cover specialist access equipment, waste removal beyond normal bagged waste, specialist duct cleaning or out-of-hours permits, each of which is quoted separately.
A quotation is not a reservation of a time slot. A slot is reserved only when you confirm acceptance in writing and we acknowledge it.
Scheduling and access
Visits are scheduled at the times stated in the specification. We ask for a reasonable window rather than an exact minute, because traffic, a previous site and access delays can move a shift by a short time. If a shift is running significantly late, the supervisor will call the client contact.
You agree to provide safe and uninterrupted access to the premises during working hours. That includes access to the areas to be cleaned, to water and power points, to waste disposal and to any plant room or store cupboard the round requires. If access is blocked, we may be unable to complete some tasks and will record that on the checklist.
If a visit cannot proceed because access is not available, we will treat the visit as a missed appointment and the charge for that visit may still apply. Where the cause is on our side, the visit will be rearranged at no additional charge.
Changes to the schedule should be requested with at least forty-eight hours notice. We will do what we can to accommodate shorter notice, but a late change may not be possible if the crew has already been allocated to other premises.
Keys, alarms and security
Where overnight access is required, we will hold keys, fobs or alarm codes under the register described in our privacy policy. Keys are signed out before a shift and signed back in at the end. Alarm codes are held in a controlled record and disclosed only to the supervisor for that round.
You agree to tell us in writing about any change to locks, codes, alarm systems or access procedures. If a change is not notified and the crew cannot gain entry, the visit will be treated as a missed appointment.
We will keep the premises secure while we work. Doors and windows are closed and locked before we leave, alarms are set as instructed, and lights are left in the agreed state. If the building team has a specific closing routine, it should be included in the specification.
If a key is lost or an alarm code is compromised through our fault, we will follow the agreed protocol and may bear the reasonable cost of changing locks or resetting codes. You agree not to change locks without telling us, since that can leave a crew unable to complete a visit.
Site conditions and hazards
Cleaning requires a safe working environment. You agree to tell us about any known hazard on the premises before the first visit: asbestos, fragile roofs, unstable floors, live electrical installations, chemical stores, confined spaces, aggressive animals or anything else that could injure a crew member.
We carry out a basic risk assessment at the survey and update it when the site changes. If we find a hazard that was not disclosed, we may stop work in the affected area and record the reason on the checklist. Work will resume once the hazard is controlled.
Where building work is in progress, the area to be cleaned should be clear of trades for the duration of our shift. We cannot clean around active demolition, hot works or open services without a specific agreement and, where required, a permit.
Methods and products
We select methods and products to suit each surface. The specification records which products are approved, and the supervisor records the dilution used on each visit where a concentrated product is mixed on site.
We use colour coded cloths and mops to prevent cross contamination between toilets, kitchens and general areas. Machine heads are cleaned between sites. Chemicals are stored in their original labelled containers and are transported in a way that prevents spills.
If you have a preference for a particular product, or a restriction on certain chemicals due to a warranty, a listed building consent or an allergy, tell us at the survey. We will adjust the specification and confirm in writing that the substitution is acceptable.
We may change a product or method where a safer or more effective alternative becomes available. Where the change could affect a finish or a warranty, we will seek your agreement first.
Client obligations
So that the round can run reliably, you agree to the following.
- Provide accurate information about the premises at the survey and tell us promptly about any material change.
- Clear personal belongings, cash, confidential documents and fragile items from the areas to be cleaned, or tell us where they are to be left untouched.
- Provide working services, including water, power and waste disposal, in the areas covered by the round.
- Tell us about hazards, permits and restrictions that apply to the building.
- Nominate a person who can sign off a visit or answer a question from the supervisor.
- Pay invoices in accordance with the agreed terms.
If a client obligation is not met, we may be unable to complete part of the round. In that case the shortfall will be recorded and the charge for the visit may still apply.
Variations and extra work
A variation is any change to the specification after it has been agreed. Typical variations include adding a room, changing the frequency of a round, requesting an additional one-off clean or altering the working hours.
Variations should be requested in writing. We will confirm the effect on the charge and the schedule before the change takes effect. Small changes, such as moving a task from one night to another, can sometimes be agreed verbally with the supervisor, but larger changes should always be recorded in writing so that both sides have the same understanding.
Extra work that is requested on the night, for example cleaning a spill in an area not covered by the round, will be recorded on the checklist and charged at the rate in the specification or, where no rate is stated, at our standard hourly rate for the relevant trade.
Charges and payment
Charges are set out in the accepted quotation. Unless the quotation states otherwise, recurring rounds are invoiced monthly in advance and one-off work is invoiced on completion.
Invoices are payable within fourteen days of the invoice date unless a different period is stated in the quotation. Payment may be made by bank transfer or by an agreed card method. Bank details will only ever be confirmed in writing by the office, and we will never send a change of bank details by email without a telephone confirmation.
Late payment may attract interest at the rate permitted by law, calculated from the due date until payment is received. If an invoice remains unpaid for more than thirty days after the due date, we may suspend the round after giving written notice and may end the agreement as described in the cancellation section.
All charges are stated exclusive of value added tax where the company is registered. If the company becomes registered for value added tax, the tax will be added at the prevailing rate.
We may review charges annually. Any review will be communicated in writing at least thirty days before it takes effect, and you may end the agreement before the new charge applies if you do not accept it.
Cancellation and termination
Either party may end a recurring agreement by giving thirty days written notice. Notice may be given by email to cleaning@dpccleaning.buzz or by letter to the store room. Notice received on a non-working day is treated as received on the next working day.
Either party may end the agreement immediately by written notice if the other party commits a material breach that is not remedied within fourteen days of a written request to remedy it. A material breach includes persistent failure to complete the specified work, persistent failure to pay, or conduct that makes continued work unsafe or unreasonable.
We may also end the agreement immediately if the premises become unsafe, if a permit required to work is withdrawn, or if the client becomes insolvent. In those cases we will account for work already carried out.
If you cancel a one-off job with less than forty-eight hours notice, we may charge for the time already allocated. If we cancel a one-off job through our own fault, we will rearrange it without charge or refund any amount already paid for it.
On termination, we will return all keys and access items, close the register and hand back any client records that we hold. Outstanding invoices become payable immediately.
Quality, inspection and rework
We aim to complete every visit to the standard in the specification. If you believe a visit fell short, please tell us within forty-eight hours so that the supervisor can inspect the area while the condition is still visible. Many issues can be resolved within a short visit.
Where a shortfall is our fault, we will return and correct it at no additional charge. The correction will normally be scheduled within two working days. If the area has since been used in a way that makes the original condition impossible to verify, we will still investigate, but we may not be able to confirm what happened.
A complaint does not entitle a client to withhold payment for work that was otherwise completed. If a dispute about quality is unresolved, the amount in dispute may be withheld while the rest of the invoice is paid.
We keep checklists and supervisor notes so that a question about a specific visit can be answered with evidence. These records are available to the client on request.
Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot lawfully be limited.
Subject to that, our liability for damage to property arising from the services is limited to the cost of repair or replacement, subject to the terms of our insurance. Where the damage is caused by a fault on our side, we will report it promptly and cooperate with the client and the insurer.
We are not liable for loss that results from a pre-existing defect in the premises, from an undisclosed hazard, from a product or surface that was not suitable for the agreed method, or from a delay caused by access problems outside our control.
We are not liable for indirect or consequential losses, including loss of profit, loss of business or loss of reputation, except where the law requires otherwise.
The client is responsible for insuring the premises and its contents. We recommend that the client notifies its insurer of any cleaning activity that involves water or machinery on sensitive surfaces.
Insurance
We hold public liability insurance covering our cleaning activities. A certificate of insurance is available on request. If a client contract requires a specific level of cover or a named insured endorsement, tell us before the contract begins so that we can confirm whether the requirement can be met.
Our insurance covers our own staff and our own equipment. It does not replace the client obligation to insure the building and its contents. Where a claim is made, we will cooperate fully with the client and the insurer, and we will provide the records needed to support an assessment.
Staff and subcontractors
Our staff are employed or engaged directly by DPC CLEANING LTD. They are trained for the rounds they work and receive instruction from the supervisor. They are not employees of the client, and the client does not supervise them.
You agree not to offer employment to a member of our staff who has worked on your premises during the preceding six months without our written agreement. If such an offer is made and accepted, you agree to pay a placement fee equal to four weeks of the staff member pay, which reflects the cost of recruiting and training a replacement.
We may use a specialist subcontractor for work outside our own capability, such as duct cleaning beyond an access panel or work at height that requires a tower. We remain responsible for the standard of the work and will tell you in advance when a subcontractor will attend.
Intellectual property
The content of this website, including text, layout, graphics and code, belongs to DPC CLEANING LTD or is used with permission. You may read and print the pages for your own reference. You may not copy the content into another website, publish it commercially or present it as your own without written permission.
Specifications, checklists and method documents that we create remain our property. The client receives a licence to use them for the premises covered by the contract. If the contract ends, the licence ends, although the client may keep a copy for record purposes.
Client materials, including logos and brand information supplied for use on signage or briefing documents, remain the property of the client. We will remove them when the contract ends.
Confidentiality
We treat information about client premises as confidential. That includes alarm codes, floor plans, staff names, business routines and anything else learned while working on site. Staff are instructed not to discuss client premises outside work, and supervisors do not share details with other clients.
You agree to treat our specifications, pricing and method documents as confidential. They are provided for the purpose of arranging and running the contract, not for sharing with other contractors.
These obligations continue after the contract ends. They do not apply to information that is already public, that a party is required to disclose by law, or that a party can show it held before the engagement began.
Events outside our control
We are not liable for a delay or failure to perform caused by an event outside our reasonable control. Examples include severe weather that makes travel unsafe, a road closure, a fire or flood at the premises, a power failure, a strike, an epidemic or a government restriction.
If such an event occurs, we will tell you as soon as possible and will agree a rearranged date. If the event continues for more than thirty days, either party may end the affected part of the agreement by written notice without penalty. Work already carried out remains payable.
Disputes and governing law
If a dispute arises, please raise it with the supervisor first. Most questions about a visit are resolved quickly once the checklist and the condition of the area have been reviewed. If the matter is not resolved, write to the office at cleaning@dpccleaning.buzz and we will respond in writing.
If the dispute cannot be resolved through discussion, the parties may agree to mediation before starting legal proceedings. Mediation is not compulsory, and either party may proceed to court if mediation does not settle the matter.
These terms are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with these terms or the services, except where the law gives a consumer a right to bring proceedings in another court.

General provisions
If any part of these terms is found to be invalid or unenforceable, the remaining parts continue in force. The invalid part will be replaced, so far as possible, by a term that achieves the same purpose lawfully.
A failure to enforce a right on one occasion does not waive that right on a later occasion.
Neither party may assign its rights under the agreement without the written consent of the other party, except that we may assign to a successor business as part of a sale or restructuring.
These terms, together with the accepted quotation and specification, form the entire agreement between the parties in respect of the services. They replace any earlier discussion or correspondence on the same subject, except where that correspondence is expressly incorporated by reference.
We may update these terms from time to time. The version published on this page is the current version, and the effective date at the top of the page shows when it was last reviewed. A change will not apply retrospectively to a contract already in force unless the law requires it or the parties agree.
Nothing in these terms creates a partnership, joint venture or employment relationship between the parties. The relationship is that of contractor and client.
